From 30 June 2016, all UK companies and LLPs will need to file confirmation statements (CS01 and LLCS01) in place of existing annual returns (AR01 and LLAR01).
The purpose of the confirmation statement is to simplify the administration related to submitting corporate information.
What has changed?
You will now, initially, submit exactly the same information as the annual return. Following this initial submission, you will then be able to ‘check and confirm’ the corporate details held at Companies House and displayed on public record. This must be done at least once every 12 months. If any of these details are incorrect, or need to be updated at that time, you can report the relevant changes with the confirmation statement. There will be no need to submit a new list of shareholders or statement of capital, unless changes need to be reported.
When do I file the confirmation statement?
Unlike the annual return, there is no set date in the year when a confirmation statement must be filed. Companies/LLPs must still ensure that no more than 12 months elapse between confirmation statements being prepared.
The date of the first confirmation statement must not be more than 12 months after the date to which the last annual return was made up.
Is there a filing fee?
Yes, the cost of which is still to be confirmed. However, you will now only be charged once per year for filing a confirmation statement, regardless of how many times you update it throughout the year. Once a confirmation statement has been made, a new 12 month period starts to run.
What do I need to submit?
The confirmation statement is made up of a two-page statement showing the company number, company name, and confirmation date and includes the following:
- people with significant control (PSCs);
- statement of capital;
- trading status of shares; and
- standard industrial classification or principal business activities.
